Denise M. Annunciata. Founder, Corporate Paralegal, specializing general corporate, securities and transactional law. Denise has 27+ years extensive experience as a paralegal and from 1997-2000 served the corporate paralegal manager at Ropes & Gray LLP.  She has worked in corporate legal departments, small law firms and large national law firms where she gained experience as a sole paralegal, as a member of a paralegal team and in the management and training of paralegals and first year associates.  In response to advanced technology and the general legal industry shake-up which redefined the legal industry in the early 2000′s, Denise founded Virtual Paralegal Services, Inc. (“VPS”) originally to service those lawyers who pioneered the “outside general counsel” niche, as we know it today.  VPS currently provides paralegal services to outside general counsels, small and medium law firms and many in-house legal departments as on-demand paralegal assistance or as needed as specific projects arise. 

From 2000-2006, Denise founded LeapLaw™ (www.leaplaw.com).  Working with a team of displaced high level corporate attorneys, LeapLaw became a compilation of up-to-date knowledge, practical tips and model forms useful to corporate legal professionals. LeapLaw serves as the primary knowledge and forms database for VPS paralegals leading to the delivery of efficient and cost-effective paralegal services.

Denise earned a Paralegal Certificate from Bentley College and a B.S. in Legal Studies from the University of Massachusetts.

Kathy Rasler – Private Equity and Securities Specialist. Kathy brings over 21 years experience to VPS working on a wide range of sophisticated securities matters and has been involved in every aspect of public and private securities-related matters. For over three years, Kathy has delivered cost-effective securities services to VPS clients while providing a pragmatic goal-oriented approach and effectively partnering with each of our clients to achieve their securities and business objectives. Before joining VPS, Kathy was a Securities/Corporate paralegal for Proskauer Rose LLP and Atlas, Pearlman in Florida. Kathy began her Paralegal career working for the head of the Securities Department for over 11 years at two large St. Louis law firms. Kathy received her Bachelor’s degree in History and Political Science and Paralegal Certification from Webster University in St. Louis, Missouri. 

When not working for VPS clients, Kathy has many personal interests and hobbies, including volunteering, gardening, traveling and being with family. She has been a resident of the Atlanta community for over 10 years where she resides with her three children.

Leann Baker. Senior Litigation Paralegal.  Leann is a senior litigation paralegal with over 12 years of experience working in law firms and in-house legal departments. Her experience includes family law, insurance defense, environmental litigation, personal injury, white collar crime, tax fraud, bankruptcy, asbestos cases, IP and complex litigation. Leann has working knowledge of Concordance, Live Note and CaseMap Suite. Most recently, Leann was a senior paralegal at Walker Digital, LLC, Stamford, CT and an Instructor for the Paralegal Program at Branford Hall Career Institute, Branford, CT, where she taught; Bankruptcy, Document Production, Legal Writing, and Career Development.

Wendy Dann Adato. Wendy is a seasoned paralegal specializing in general corporate, securities and transactional law as well as estate planning. During her nearly 30 year career, Wendy has worked in large and small law firms and in-house legal departments in Iowa, Ohio and Washington, D.C. She has worked with clients of all sizes including individuals, nonprofits, privately held companies and publicly listed Fortune 500 companies, in many diverse industries such as consumer electronics, banking, mutual funds, telecommunications and agricultural supply. 

Prior to joining Virtual Paralegal Services, Wendy was a senior paralegal manager in the Business Practice Group at Jones Day, Washington, D.C. for 16 years where she managed other paralegals and assisted clients with corporate formation and maintenance matters, federal securities filings, mergers, acquisitions, securities offerings and other financings. Wendy holds a B.A. in Criminal Justice from Indiana University in Bloomington, IN.

Emily Baldwin-Walker, CP.  Intellectual Property Paralegal In the past 9 years, Emily has assisted intellectual property (IP) law firms and companies in growing, managing and maintaining IP portfolios consisting of tens of thousands of patents, trademarks, and copyrights.Patents

Emily possesses extensive experience in preparing and filing all types of patent applications, responding to formality rejections and official actions issued by the United States Patent and Trademark Office (USPTO), filing information disclosure statements, and payment of maintenance fees. She also assisting attorneys in patent re-examination proceedings and securing patent license agreements. In past experience, Emily has managed the patent work for up to three attorneys. While working for a law firm in Oklahoma City, she was successful at developing and implementing procedures for transferring in-house and managing foreign patent prosecution for the first time, effectively eliminating double billing of clients from a third party law firm which has been providing said service.

Working to assist mid-sized companies in effectively managing their intellectual property, Emily developed, grew and maintained cost effective internal IP departments on behalf of several companies.

Emily further possesses extensive experience in preparing and filing domestic and foreign trademark applications, responding to official actions, and maintaining trademark registrations.

Copyrights and Other IP Experience:

Emily has filed 250 copyright applications at one time. She has also had experience in patent litigation discovery, held a docketing manager position as well as created and developed docketing training materials in order to train five individuals to perform patent and trademark docketing service on behalf of International Strategy Group, LLC.

Connie Ballou. Senior Corporate Paralegal - Connie Ballou has been a paralegal for 15 years in the areas of corporate law, securities law and commercial real estate securitized lending, with experience in all aspects of the corporate life span from start-up through entity maintenance and liquidation. She has experience in mergers and acquisitions, securitizations, IPOs, private equity financings, restructurings, compliance filings and corporate governance requirements, working for large law firms in Hartford and Boston. Prior to her paralegal experience, Connie was an asset manager with Connecticut National Bank managing an extensive portfolio of OREO residential properties in eastern Connecticut. Connie has been with VPS for over a year. Connie has a B.A. from University of Massachusetts at Amherst, and a paralegal certificate from the University of Connecticut School of Law. She is a notary public and a member of the Massachusetts Paralegal Association.
