Corporate Paralegal (Boston) (January 2, 2008)

We are seeking a mid-level Corporate Paralegal to work as independent contractor. You must be very responsible, have great pride and integrity in your work product and be professional, self-motivated and extremely organized.

You must have solid experience in drafting resolutions, consents, minutes, stock transfers, agreements, bylaws, articles, certificates, amendments, affidavits for all business entities. Prepare and file articles, withdrawals, amendments, qualifications, dissolutions, articles of merger, annual reports, business certificates and financing statements in all states. Incorporate/form, qualify/register, dissolve/cancel, withdraw, merge and convert all business entities including IRS documentation and minute book compilation, maintenance and/or reconstruction.

*Bachelor's degree and a minimum of three years corporate paralegal experience required.*
