    Denise M. Annunciata. Denise has 27+ years extensive experience as a paralegal and from 1997-2000 served the corporate paralegal manager at Ropes & Gray LLP. She has worked in corporate legal departments, small law firms and large national law firms where she gained experience as a sole paralegal, as a member of a paralegal team and in the management and training of paralegals and first year associates. In response to advanced technology and the general legal industry shake-up which redefined the legal industry in the early 2000?s, Denise founded Virtual Paralegal Services, Inc. (“VPS”) originally to service those lawyers who pioneered the “outside general counsel” niche, as we know it today. VPS currently provides paralegal services to outside general counsels, small and medium law firms and many in-house legal departments as on-demand paralegal assistance or as needed as specific projects arise.

    From 2000-2006, Denise also founded LeapLaw™ (www.leaplaw.com). Working with a team of temporarily displaced high level corporate attorneys in early 2000?s, LeapLaw became a compilation of up-to-date knowledge, practical tips and model legal forms useful to corporate legal professionals. LeapLaw serves as the primary knowledge and forms database for VPS paralegals leading to the delivery of efficient and cost-effective paralegal services. Denise earned a Paralegal Certificate from Bentley College and a B.S. in Legal Studies from the University of Massachusetts. Denise resides in Framingham, MA with her husband. When not working, Denise enjoys spending time with her daughter and 3 grandchildren.

  • Megan McGuire

    Megan brings over 12 years experience to VPS working on complex and dynamic projects for both private and public companies in every stage of their corporate life cycle. Before joining VPS, Megan was a Corporate Paralegal working in-house for an international clean tech company based in Boston, Massachusetts. Prior to that, she was a Corporate Paralegal and, later, Corporate Paralegal Coordinator at Ropes & Gray LLP. Megan received her Bachelor’s degree from Hobart & William Smith Colleges in Geneva, NY with a major in Political Science and a double minor in History and Critical Social Studies Dialogues. When not working for VPS clients, Megan enjoys traveling, fitness, reading and cooking. She has been a resident of the MetroNorth area of Massachusetts for over 15 years where she resides with her husband and dog, Hudson.

  • Stephen Zagami

    Steve brings 10 years experience to VPS, working in law firms as a corporate paralegal on a wide range of corporate matters, including specializing in corporate and transactional services, including financing, formation, dissolution, and mergers as well as entity management including stock cap tables and compliance management. As a former Middlesex Probate and Family Court Sessions Clerk, Stephen also has significant Trust and Estate experience. Stephen delivers cost-effective services to VPS clients while providing an effective approach to help achieve their business objectives. Before joining VPS, Stephen spent eight years as a corporate paralegal for Gesmer Updegrove LLP in Boston. Stephen received his Bachelor’s degree in Criminal Justice from the University of Massachusetts and his Paralegal Certification from Northeastern University. When not working for VPS clients, Stephen has many personal interests and hobbies, including reading, traveling and being with his family. Stephen is a lifelong resident of Massachusetts where he resides with his wife and two children.

  • Sunshine Liumanni

    Sunshine brings over 15 years’ experience to VPS, working in New York and Boston law firms as docketing clerk and paralegal for Patent and Trademark matters. She has significant knowledge of prosecution procedures for both Patent and Trademark applications, including filing applications, preparing and filing responses to PTO actions, and maintaining docketing calendars for responses and deadlines for pending and issued Patents and Trademarks. Sunshine spent several years working at IP firms Kenyon and Kenyon and Baker Botts in New York City. After relocating to Massachusetts, she spent four years working at Gesmer Updegrove in Boston. At Gesmer Updegrove, she maintained the docketing database and files, while working closely with Patent and Trademark attorneys for preparing, reviewing and filing various PTO documents, work with clients in connection with their IP holdings and reviewing client portfolios for various mergers and acquisitions. Sunshine received her Bachelor’s degree in Communications from Ithaca College, Ithaca, NY.

    Kathy brings over 18 years experience to VPS working on a wide range of sophisticated securities matters and has been involved in every aspect of public and private securities-related matters. For over three years, Kathy has delivered cost-effective securities services to VPS clients while providing a pragmatic goal-oriented approach and effectively partnering with each of our clients to achieve their securities and business objectives. Before joining VPS, Kathy was a Securities/Corporate paralegal for Proskauer Rose LLP and Atlas, Pearlman in Florida. Kathy began her Paralegal career working for the head of the Securities Department for over 11 years at two large St. Louis law firms. Kathy received her Bachelor’s degree in History and Political Science and Paralegal Certification from Webster University in St. Louis, Missouri.When not working for VPS clients, Kathy has many personal interests and hobbies, including volunteering, gardening, traveling and being with family. She has been a resident of the Atlanta community for over 10 years where she resides with her three children.

    Emily brings 10 years’ experience to VPS managing and maintaining IP portfolios consisting of tens of thousands of patents, trademarks, and copyrights.
    Patents: Emily possesses extensive experience in preparing and filing all types of patent applications, responding to formality rejections and official actions issued by the United States Patent and Trademark Office (USPTO), filing information disclosure statements, and payment of maintenance fees. She also assisting attorneys in patent re-examination proceedings and securing patent license agreements. In past experience, Emily has managed the patent work for up to three attorneys. While working for a law firm in Oklahoma City, she was successful at developing and implementing procedures for transferring in-house and managing foreign patent prosecution for the first time, effectively eliminating double billing of clients from a third party law firm which has been providing said service. Working to assist mid-sized companies in effectively managing their intellectual property, Emily developed, grew and maintained cost effective internal IP departments on behalf of several companies. Trademarks: Emily further possesses extensive experience in preparing and filing domestic and foreign trademark applications, responding to official actions, and maintaining trademark registrations. Copyrights and Other IP Experience: Emily has filed 250 copyright applications at one time. She has also had experience in patent litigation discovery, held a docketing manager position as well as created and developed docketing training materials in order to train five individuals to perform patent and trademark docketing service on behalf of International Strategy Group, LLC.

    Allie brings over 10 years’ experience to VPS coordinating high volume venture capital transactions including blue sky research and filings, SEC registrations. She brings extensive experience administering stock option plans including calculating, vesting, processing grants and exercises. In addition to her extensive corporate experience, Allie also had extensive experience in commercial real estate and trust & estates. Allie holds BA from Corcordia University and a JD from Chapman University School of Law.     Lia brings over 17 years’ experience to VPS as a general corporate paralegal managing all events through the life of any type of business entity from formations to dissolutions and everything in between, including transactional assistance, drafting buy-sell agreements, employment agreements, assignments, promissory notes, leases and the like. In her last in-house position, she was responsible for all legal matters for Mattel’s international and operations divisions, managing international regulatory compliance, litigation and transactional matters. Lia holds BS in Paralegal Studies and a Certificate in Paralegal Studies from the University of West Los Angeles, School of Paralegal Studies. Prior to joining VPS, Lia was a Corporate Paralegal at Mattel, Inc., Raytheon Company, Nissan North America, LexisNexis and Foley & Lardner. Lia is also a Paralegal Instructor-Adjunct at the Los Angeles Southwest Community College teaching legal research and writing, law office management and Family Law and Probate.

    Kristy brings more than 12 years of paralegal experience to VPS, beginning as the records clerk of a small plaintiff’s firm in Wichita, Kansas. She has worked as a paralegal at law firms in both Texas and Kansas and has developed extensive litigation experience in areas such as employment law, insurance defense, oil and gas, family law, real estate and probate. She gained additional experience and knowledge most recently as the Director of Human Resources for a large franchisee in the restaurant industry. Kristy earned her Paralegal Certificate from the University of North Texas, graduated from Southwestern College in Winfield, Kansas with a BS in Human Resources, and obtained her Certified Paralegal Designation from the NALA in 2009 and went on to earn the Advanced Paralegal Certification in Contract Management from the NALA in 2012.
