- Draft:
- Stockholder and director consents as required by statutes.
- Certificates or articles of conversion and/or merger as required by each state.
- Confirm that all state requirements (i.e. good standing) are met prior to filing conversion or merger to ensure smooth filing.
- Research requirements for filing in relevant foreign states (i.e. withdrawals or qualifications).
- Prepare documents to be filed in foreign states.
- Obtain required supporting documents from the domestic states (i.e. certificate of merger; good standing).
- IRS notification of conversion or merger so that the preferred tax identification number remains valid.
