| Joanne Wolforth. Joanne Wolforth brings over 20 years experience as a paralegal. In 1999, Joanne joined Ropes & Gray LLP in Boston, MA where she spent over 7 years supporting the corporate and healthcare departments where she developed extensive experience in entity lifecycle and corporate transactional matters. | Kathy Rasler. Kathy brings over 18 years experience to VPS working on a wide range of sophisticated securities matters and has been involved in every aspect of public and private securities-related matters. For over three years, Kathy has delivered cost-effective securities services to VPS clients while providing a pragmatic goal-oriented approach and effectively partnering with each of our clients to achieve their securities and business objectives. Before joining VPS, Kathy was a Securities/Corporate paralegal for Proskauer Rose LLP and Atlas, Pearlman in Florida. Kathy began her Paralegal career working for the head of the Securities Department for over 11 years at two large St. Louis law firms. Kathy received her Bachelor’s degree in History and Political Science and Paralegal Certification from Webster University in St. Louis, Missouri.
When not working for VPS clients, Kathy has many personal interests and hobbies, including volunteering, gardening, traveling and being with family. She has been a resident of the Atlanta community for over 10 years where she resides with her three children. |

| Wendy Dann Adato. Wendy is a seasoned paralegal specializing in general corporate, securities and transactional law as well as estate planning. During her nearly 30 year career, Wendy has worked in large and small law firms and in-house legal departments in Iowa, Ohio and Washington, D.C. She has worked with clients of all sizes including individuals, nonprofits, privately held companies and publicly listed Fortune 500 companies, in many diverse industries such as consumer electronics, banking, mutual funds, telecommunications and agricultural supply.
Prior to joining Virtual Paralegal Services, Wendy was a senior paralegal manager in the Business Practice Group at Jones Day, Washington, D.C. for 16 years where she managed other paralegals and assisted clients with corporate formation and maintenance matters, federal securities filings, mergers, acquisitions, securities offerings and other financings. | Emily Baldwin-Walker, CP. In the past 8 years, Emily has assisted IP law firms and companies in growing, managing and maintaining IP portfolios consisting of tens of thousands of patents, trademarks, and copyrights. Patents: Emily possesses extensive experience in preparing and filing all types of patent applications, responding to formality rejections and official actions issued by the United States Patent and Trademark Office (USPTO), filing information disclosure statements, and payment of maintenance fees. She also assisting attorneys in patent re-examination proceedings and securing patent license agreements. In past experience, Emily has managed the patent work for up to three attorneys. While working for a law firm in Oklahoma City, she was successful at developing and implementing procedures for transferring in-house and managing foreign patent prosecution for the first time, effectively eliminating double billing of clients from a third party law firm which has been providing said service. Working to assist mid-sized companies in effectively managing their intellectual property, Emily developed, grew and maintained cost effective internal IP departments on behalf of several companies. | Connie Ballou. Connie Ballou has been a paralegal for 15 years in the areas of corporate law, securities law and commercial real estate securitized lending, with experience in all aspects of the corporate life span from start-up through entity maintenance and liquidation. She has experience in mergers and acquisitions, securitizations, IPOs, private equity financings, restructurings, compliance filings and corporate governance requirements, working for large law firms in Hartford and Boston. Prior to her paralegal experience, Connie was an asset manager with Connecticut National Bank managing an extensive portfolio of OREO residential properties in eastern Connecticut. Connie has been with VPS for over a year. Connie has a B.A. from University of Massachusetts at Amherst, and a paralegal certificate from the University of Connecticut School of Law. She is a notary public and a member of the Massachusetts Paralegal Association. |

| Irina Kebreau. In the past 10 years, Irina has worked on various commercial real estate transactions involving acquisitions/dispositions (including air/development rights transfers), financing (construction, permanent, mezzanine, bond), joint ventures, strategic planning, workouts and 1031 exchanges. Of particular strength is Irina’s experience with the affordable housing component involving various tax abatement and LIHTC programs around the country. As part of the due diligence process of such transactions, Irina has analyzed and has working knowledge of various federal, state and local affordable housing programs eligibility, reporting and regulatory requirements.
In addition to her diverse experience in commercial real estate, Irina also has over 5 years of experience in general litigation assisting attorneys with research issues, discovery, including review and production of documents, and assisting with trials, hearings, and appeals. In the past 14 years, she has also assisted in corporate asset and non-asset based M&A transactions, corporate housekeeping and financial restructuring. |
